Our services encompass enterprise network architecture, cloud infrastructure consulting and migration, cybersecurity assessment and compliance, custom software development, IT strategy and advisory, and managed IT services. The scope, deliverables, timelines, payment terms, and other specific details of any service engagement between TrustLink Buzz and a client shall be governed by a separate written service agreement or statement of work executed by both parties. In the event of any conflict between these general Terms and the provisions of a specific service agreement, the service agreement shall prevail with respect to the subject matter of that engagement.

We reserve the right to modify, suspend, or discontinue any aspect of our services, including the availability of any feature, tool, or content, at any time and without liability, except as provided in an applicable service agreement. We will make reasonable efforts to communicate material changes to services to affected clients in advance where practicable.

6. User Conduct and Obligations

When using the Website and interacting with our services, you agree to comply with all applicable local, national, and international laws and regulations. You further agree not to engage in any of the following prohibited activities:

7. Intellectual Property Rights

Our Intellectual Property. Unless otherwise agreed in a written service agreement, all deliverables, reports, designs, code, documentation, and other work product created by TrustLink Buzz in the course of providing services to a client shall be considered work made for hire, and the client shall own all intellectual property rights therein upon full payment for the applicable services, subject to our right to use general knowledge, skills, and experience gained in the course of the engagement.

8. Payment Terms

Fees for our professional services shall be as set forth in the applicable service agreement, statement of work, or invoice. All fees are quoted and payable in United States Dollars (USD) unless otherwise specified in writing. You are responsible for all applicable taxes, duties, and governmental assessments associated with your purchase of services.

Payment is due within the timeframe specified in the applicable service agreement or invoice, typically within thirty (30) calendar days from the invoice date unless otherwise agreed. We reserve the right to charge interest on overdue amounts at a rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower.

If any payment is not received when due, we may suspend or terminate the provision of services until such payment is made. You agree to reimburse us for all reasonable costs and expenses, including collection agency fees and legal fees, incurred in collecting any overdue amounts.

9. Confidentiality

In the course of our engagement, each party may disclose to the other certain non-public, proprietary, or confidential information (Confidential Information). Confidential Information includes, but is not limited to, business plans, financial data, technical specifications, customer lists, trade secrets, source code, security assessments, and any information that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances.

Each party agrees to use the other partys Confidential Information solely for the purpose of performing its obligations under these Terms and any applicable service agreement, and to protect such Confidential Information using at least the same degree of care that it uses to protect its own confidential information of like nature, but in no event less than a reasonable degree of care. Neither party shall disclose the others Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.

The obligations of confidentiality shall survive the termination of these Terms and any service agreement for a period of five (5) years, or indefinitely with respect to trade secrets. Confidential Information does not include information that is or becomes publicly available through no breach of these Terms, was already in the recipients possession without obligation of confidentiality, is independently developed by the recipient without use of the disclosing partys Confidential Information, or is rightfully obtained by the recipient from a third party without restriction.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall TrustLink Buzz, Kunming Xianfulian Trading Co., Ltd., or any of their respective directors, officers, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with these Terms, the use of or inability to use the Website, or any services provided, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.

The aggregate liability of TrustLink Buzz and Kunming Xianfulian Trading Co., Ltd. for all claims arising out of or related to these Terms or any services provided, whether in contract, tort, or otherwise, shall not exceed the total amount of fees paid by you to TrustLink Buzz during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action and shall survive any termination or expiration of these Terms.

Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you in whole or in part. In such jurisdictions, the liability of TrustLink Buzz shall be limited to the greatest extent permitted by law.

11. Disclaimer of Warranties

The Website and all services are provided on an as is and as available basis, without any representations or warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, TrustLink Buzz and Kunming Xianfulian Trading Co., Ltd. expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and any warranties arising from course of dealing, course of performance, or usage of trade.

12. Indemnification

13. Termination

We may terminate or suspend your access to the Website and services, with or without cause, at any time and without prior notice, including where we reasonably believe that you have violated any provision of these Terms. Upon termination, your right to access and use the Website shall immediately cease, and you shall destroy all copies of any Content obtained from the Website in your possession or control.

Termination of a service engagement between TrustLink Buzz and a client shall be governed by the provisions of the applicable service agreement. In the absence of specific termination provisions in a service agreement, either party may terminate the engagement upon thirty (30) calendar days written notice to the other party, provided that the client remains obligated to pay for all services rendered and expenses incurred up to the effective date of termination.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, confidentiality obligations, and limitations of liability.

14. Dispute Resolution

We are committed to resolving disputes amicably and efficiently. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or our services (a Dispute), the parties agree to first attempt to resolve the Dispute informally through good-faith negotiations.

If the Dispute cannot be resolved through informal negotiations within thirty (30) calendar days of the date on which one party notifies the other in writing of the Dispute, the Dispute shall be submitted to binding arbitration administered in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in Kunming, China, in the English language, before a single arbitrator mutually agreed upon by the parties or, if the parties cannot agree, appointed by CIETAC. The arbitral award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

Nothing in this section shall preclude either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary interests. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against TrustLink Buzz or Kunming Xianfulian Trading Co., Ltd.

15. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transactions between the parties.

Subject to the dispute resolution provisions set forth in Section 14 above, each party irrevocably submits to the exclusive jurisdiction of the competent courts located in Kunming, China, for the resolution of any disputes that are not subject to arbitration under these Terms.

16. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make changes, we will update the Last Updated date at the top of this page and post the revised Terms on the Website. It is your responsibility to review these Terms periodically for any updates or modifications.

We will make reasonable efforts to provide notice of material changes by posting a prominent notice on the Website or, where we have your contact information, by sending you an email notification at least thirty (30) calendar days before the changes take effect. Your continued use of the Website after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the modified Terms.
